I've found easy way to get rid of this problem, its causing because of sql embedded version and database is already there, all you have to do is uninstall SQL embedded version from your computer, here is trick,

"To uninstall SSEE:

Start Registry Editor, and then locate the following registry key: HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows\CurrentVersion\Uninstall

In the left pane, click each GUID.
For each GUID that you click, look for a display name in the right pane that matches “Microsoft SQL 2005 Embedded Edition…”.

When you see a display name that matches the name, copy the value of the Key named “UninstallString”
Open a Command-Window (Start->run->cmd)
Paste the Copied string.
Append “CALLERID=OCSETUP.EXE” eg “MsiExec.exe /X{BDD79957-5801-4A2D-B09E-852E7FA64D01} CALLERID=OCSETUP.EXE”"

It worked for me, hope it works for you people, i know the pain to format machine.....;)

Thanks a lot for this useful info!One frustrating problem I ran into was that @#$#%@# stsadm.exe command.any valid stsadm command I ran resulted in "Command line error." or "invalid parameter" - I finally figured out the the stsadm.exe was NOT the one I thought I was executing. I had to place ".....\Program Files\Common Files\Microsoft Shared\web server extensions\12\BIN" in my PATH to ensure I was executing the correct stsadm.exe. VERY frustrating...
